Is there a contract? Yes – a simple terms document. NDA welcomed. No heavy legalese or law firm back-and-forth.
1. Retainer Plans
- Dedicated: 40 hrs/week, 6 months lock-in
- Scale: 40 hrs/month, 3 months lock-in
- Core: 20 hrs/month, 3 months lock-in
- Prepaid Only. No rollover of unused hours.
2. Communication & Availability
- Primary Hours: IST (Indian Standard Time)
- Communication via client-preferred tools
- Production issues: 24×7 response regardless of time zone
3. Tools & Infrastructure
- Client’s tools and licenses are used
- Consultant brings skills and experience
- No additional infra/setup charges unless agreed
4. Confidentiality & Data Protection
- All data treated as confidential
- No copying/sharing beyond scope
- NDA signed upon request
- Local data deleted post-engagement
5. Dispute Resolution
- Resolve via direct communication first
- 15-day resolution window before escalation
- Mediation preferred before legal action
- Jurisdiction based on mutual agreement
6. Force Majeure
- Covers natural disasters, outages, war, etc.
- Notify other party promptly
- Suspend obligations temporarily
- Either party may exit after 30 days
7. Amendments & Modifications
- All changes must be in writing
- Verbal/informal terms not binding
- New terms override old if acknowledged
8. Termination & Exit Terms
- Client may terminate with written notice post-lock-in
- Prepaid hours non-refundable
- Final handover upon mutual confirmation
- Consultant exits cleanly from all systems
9. Ownership of Work
- All deliverables remain client’s property
- No reuse or redistribution by consultant
10. Reporting & Time Logs
- Time logs in 15-minute blocks
- No screen/webcam recording
- Detailed task-level reporting optional
11. Adoption of Client Tools
- Consultant adopts client’s tools (Jira, Asana, etc.)
- Ensures seamless integration with client workflow
12. Usage Flexibility
- Hours can be used for any DB-related task
- No micro-management of how hours are spent
13. Vacation / Client-Initiated Pauses
- To be mutually discussed
- Pause requests allowed with notice
- Subject to fair-use; not indefinite
- Will revisit this policy for clarity
14. Policy Softness
- Guidelines are meant to help, not restrict
- Adjustments welcome for long-term clients
15. FAQ (Published Separately)
- Covers billing, availability, upgrades, NDAs, etc.
16. Entire Agreement Clause
- This document represents the full understanding between both parties.
- Any prior agreements, promises, or understandings, written or oral, are superseded by this document unless explicitly referenced herein.
