1. Engagement Plans
- Leadership Partner: 120–160 hrs/month, 6 months minimum
- Strategic Advisor: 40–80 hrs/month, 3 months minimum
- Executive Counsel: 15–30 hrs/month, 3 months minimum
- All plans are prepaid. Unused hours do not roll over.
2. Communication & Availability
- Primary Hours: IST (Indian Standard Time)
- Communication via client-preferred tools (Slack, email, Teams, etc.)
- Critical or emergency issues handled promptly, regardless of time zone.
3. Tools & Infrastructure
- Engagement utilizes client’s existing systems and platforms
- Consultant provides expertise, guidance, and execution support
- Any additional tools or infrastructure require prior agreement.
4. Confidentiality & Data Protection
- All client information is treated as confidential
- No sharing outside the scope of engagement
- NDA signed upon request
- Client data removed from consultant systems post-engagement.
5. Dispute Resolution
- Resolve disagreements via direct discussion first
- 15-day window for resolution before escalation
- Mediation preferred prior to legal action
- Jurisdiction based on mutual agreement.
6. Force Majeure
- Covers natural disasters, outages, conflicts, or unforeseen events
- Parties notify each other promptly
- Obligations may be temporarily suspended
- Either party may terminate after 30 days if unresolved.
7. Amendments & Modifications
- All changes must be documented in writing
- Verbal agreements are non-binding
- New terms supersede old when acknowledged by both parties.
8. Termination & Exit Terms
- Client may terminate post-lock-in with written notice
- Prepaid hours are non-refundable
- Final handover upon mutual confirmation
- Consultant exits client systems cleanly and securely.
9. Ownership of Work
- All deliverables and outputs remain the client’s property
- Consultant retains no rights to reuse or redistribute without permission.
10. Reporting & Time Logs
- Work summaries provided in agreed intervals
- No screen recording or intrusive monitoring
- Optional detailed reporting available on request.
11. Adoption of Client Systems
- Consultant integrates with client’s tools and workflow
- Ensures smooth coordination with internal teams.
12. Usage Flexibility
- Hours can be applied to any executive, advisory, or operational task
- No micromanagement of how hours are allocated.
13. Vacation / Pauses
- Pauses mutually discussed and agreed in advance
- Subject to fair-use and operational requirements
- Policies revisited periodically for clarity.
14. Policy Guidance
- Guidelines exist to facilitate the engagement, not restrict it
- Adjustments are possible for long-term clients.
15. FAQ Reference
- Separate FAQ addresses billing, availability, NDAs, upgrades, and engagement specifics.
16. Entire Agreement
- This document represents the full understanding between both parties
- Supersedes all prior agreements, written or oral, unless explicitly referenced herein.
